Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Numina ("Numina," "we," "us," "our") and its software, websites, and services (together, the "Service"). By creating an account or using the Service, you accept these Terms on behalf of yourself and the organization you represent ("Customer," "you"). If you do not agree, do not use the Service.

2. Your account

You must provide accurate information, keep your login credentials secure, and are responsible for all activity under your account. You are responsible for your users' compliance with these Terms.

3. The Service

Numina provides AI-assisted account intelligence — analysis, recommendations ("plays"), suggested contacts, and draft communications generated from your data and from public sources. The Service is decision-support: outputs are suggestions, not guarantees, and must be reviewed by a person before being relied upon, sent, or otherwise acted on.

4. Customer data

"Customer Data" is the data you upload, sync, or otherwise provide. As between the parties, you own your Customer Data. You grant Numina a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide, secure, support, and improve the Service for you. You represent and warrant that you have all rights and permissions necessary to provide Customer Data and have it processed — including any third-party or personal data — and that your use of the Service, including any outreach you send, complies with all applicable laws.

5. AI and third-party services

The Service uses third-party AI providers to process Customer Data and generate output. AI output can be inaccurate, incomplete, or out of date; you are solely responsible for reviewing and verifying any output before use. Where you optionally connect your own third-party accounts or API keys, you are responsible for your use of, and compliance with, those third parties' terms.

6. Acceptable use

You will not: use the Service unlawfully; upload data you lack the rights to process; send communications that violate anti-spam, privacy, or other laws; attempt to access another customer's data or circumvent security; reverse-engineer the Service; or use the Service to build a competing product or to scrape or resell its outputs. 7. Credits, fees, and billing

Access to AI analyses is purchased as prepaid credits through our payment processor, and credits are consumed when you run analyses. The price per credit is shown at the time of purchase. Credits expire twelve (12) months after the date of purchase, unless a different period is stated in a fully executed order form (for example, an enterprise order form may set a longer term). Credits do not roll over or carry forward after they expire, and all purchases are final — fees are non-refundable, including for unused or expired credits, except where required by law. We may change pricing prospectively with reasonable notice; changes do not affect credits already purchased. You are responsible for applicable taxes. Where you optionally connect your own AI provider key, that provider may separately bill you for usage on your own account.

8. Intellectual property

Numina, its software, and all related intellectual property are and remain owned by us. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. Outputs generated for you may be used for your internal business purposes. We may collect and use aggregated, de-identified data and usage information to operate, secure, and improve the Service.

9. Confidentiality

Each party will protect the other's confidential information and use it only as needed to perform under these Terms.

10. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE. YOU ASSUME ALL RESPONSIBILITY FOR DECISIONS MADE AND ACTIONS TAKEN BASED ON THE SERVICE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMINA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. NUMINA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO NUMINA IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend, indemnify, and hold Numina harmless from and against any claims, damages, and expenses arising out of your Customer Data, your use of the Service, your communications and outreach, or your breach of these Terms.

13. Term and termination

These Terms apply for as long as you use the Service. We may suspend or terminate access for breach, legal or security risk, or non-payment. You may stop using the Service at any time. Upon termination, your right to use the Service ends, and we will delete or return Customer Data on request, subject to legal retention requirements. Provisions that by their nature should survive termination (including Sections 4 and 8–12, and 14) will survive.

14. Changes and general terms

We may update these Terms; material changes will be posted here with a new "last updated" date and, where appropriate, additional notice. These Terms are governed by the laws of the applicable governing jurisdiction, without regard to conflict-of-laws rules. If any provision is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and Numina regarding the Service.
